TalkTheDoc is a voice-enabled document conversation platform that allows users to:

• Upload documents (PDF, Word, Excel, PowerPoint, CSV, TXT, Images)
• Chat with documents using text or voice
• Generate AI-powered summaries and insights
• Organize documents in folders

The Service uses artificial intelligence to process your documents and generate responses. AI-generated content may not always be accurate or complete.

3. Account Registration

To use TalkTheDoc, you must:

• Create an account with accurate information
• Be at least 13 years of age
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscriptions and Billing

4.1 Plans

TalkTheDoc offers free and paid subscription plans. Features and limits vary by plan. Current pricing and features are displayed on our website.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Payment processing is handled by Polar.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial periods
• Your account reverts to free tier limits

4.4 Price Changes

We may modify pricing with 30 days notice. Changes apply to new billing periods only.

5. Acceptable Use

You agree not to use TalkTheDoc to:

• Upload illegal, harmful, or offensive content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Upload malware or malicious content
• Scrape, crawl, or automatically access the Service
• Resell or redistribute the Service without permission
• Use the Service to develop competing products

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Content

6.1 Ownership

You retain all ownership rights to documents you upload. By uploading content, you grant us a limited license to process, store, and display your content solely to provide the Service.

6.2 Responsibility

You are solely responsible for the content you upload. You represent that you have the right to upload and process any documents you submit.

6.3 Confidential Information

While we implement security measures, you acknowledge that documents are processed by third-party AI services. Do not upload highly sensitive information (medical records, financial data, trade secrets) unless you accept this risk.

7. AI-Generated Content

TalkTheDoc uses artificial intelligence to generate responses about your documents. You acknowledge that:

• AI responses may contain errors or inaccuracies
• AI should not replace professional advice (legal, medical, financial)
• You are responsible for verifying important information
• AI-generated content does not represent our views or opinions

8. Intellectual Property

TalkTheDoc and its original content, features, and functionality are owned by TalkTheDoc and protected by intellectual property laws. You may not copy, modify, or reverse engineer our Service.

9. Third-Party Services

Our Service integrates with third-party providers including:

• Clerk (authentication)
• OpenAI (text chat and embeddings)
• Google Gemini (voice AI)
• Polar (payment processing)
• Convex (data storage)
• Google Analytics (usage analytics)

Your use of these services is subject to their respective terms and policies.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform maintenance with or without notice
• Modify or discontinue features
• Experience outages beyond our control

We are not liable for any loss or damage resulting from service unavailability.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKTHEDOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless TalkTheDoc from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any rights of a third party.

14. Termination

We may terminate or suspend your account immediately, without notice, for conduct that we determine violates these Terms or is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
